Terms of Service

1. Scope, Definitions, and Agreement

These Terms of Service are a binding agreement between you and Flowchef governing access to and use of the Flowchef platform, websites, APIs, and related services (collectively, the Service). By creating an account, accessing, or using the Service, you agree to these Terms.

In these Terms: (a) Account means your registered profile; (b) Workspace means a project environment under your Account; (c) Run means one completed flow execution; (d) Customer Content means data, files, text, credentials, and configuration you submit to or process through the Service; and (e) Order means your selected plan, billing cycle, and pricing accepted at checkout.

If you use the Service for an organization, you represent that you have authority to bind that organization, and references to you include that organization and its authorized users.

2. Eligibility and Account Responsibilities

You must be legally capable of entering contracts and use the Service in compliance with applicable law. You agree to provide accurate registration details, keep your information current, and maintain the security of your login credentials, API keys, and connected app secrets.

You are responsible for all activity under your Account, including actions taken by team members, collaborators, and anyone who gains access through your credentials. You must promptly notify us of unauthorized access or a suspected security incident.

3. Workspace Administration and Team Access

Workspace owners and administrators control user invitations, permissions, integrations, and flow deployments. Administrators are responsible for ensuring team members use the Service appropriately and for promptly removing access when no longer needed.

We may apply plan-based limits to team members, active flows, and workspace resources. Attempting to bypass plan restrictions or technical controls is prohibited.

4. Acceptable Use and Conduct Restrictions

You may use the Service only for lawful business purposes and in accordance with these Terms. You are responsible for your automation logic, connected account permissions, generated outputs, and downstream actions triggered by your flows.

You must not, and must not permit others to:

• violate laws, regulations, sanctions, or third-party rights;
• send spam, phishing, or deceptive communications;
• upload malware, hostile code, or content intended to disrupt systems;
• probe, scan, or test vulnerabilities without written authorization;
• bypass rate limits, quotas, or access controls;
• reverse engineer, decompile, disassemble, or attempt to extract source code from the Service except where law expressly allows it;
• use the Service for high-risk activities where failure could cause death, personal injury, or severe environmental damage;
• interfere with platform stability, fairness, or other customers’ use of the Service.

5. Subscriptions, Fees, Taxes, and Billing Changes

Flowchef offers free and paid plans. Paid plans are billed on the cycle selected at checkout (monthly or annual) through our payment processor. By purchasing a paid plan, you authorize recurring charges to your payment method until cancellation.

Fees are exclusive of taxes unless explicitly stated otherwise. You are responsible for applicable taxes, duties, and similar governmental charges. If your payment method fails, we may retry charges, suspend paid features, or downgrade access.

We may update pricing, packaging, or plan features from time to time. Material pricing changes for active paid subscriptions will apply on a future renewal cycle after reasonable notice.

6. Trials, Renewals, Upgrades, Downgrades, Cancellations, and Refunds

We may offer free trials or promotional access. Trial terms, including duration and eligibility, are shown at signup. Trials may require a payment method and may convert automatically to a paid subscription unless canceled before trial end.

Subscriptions renew automatically at the end of each billing period unless canceled. Plan upgrades may be charged immediately with prorated billing adjustments where supported. Downgrades typically apply at the next renewal unless otherwise stated in-product.

You may cancel through billing settings. Unless local law requires otherwise, fees already paid are non-refundable, and partial-period credits are not guaranteed.

7. Usage Limits, Runs, and Fair Use

Plan entitlements include limits such as monthly runs, active workflows, users, or feature quotas. For billing purposes, one completed flow execution counts as one Run unless a specific feature states otherwise.

To protect reliability for all customers, we may apply fair-use controls, throttling, temporary limits, or abuse safeguards where usage patterns materially degrade performance, availability, or security of the Service.

8. Third-Party Integrations and External Services

The Service supports integrations with third-party products, APIs, and websites. Your use of those services is governed by their terms and policies. Flowchef does not control, endorse, or guarantee third-party services and is not responsible for their availability, security, content, or changes.

You are responsible for obtaining rights and permissions required to connect external systems and for complying with all applicable third-party contractual obligations.

9. Customer Content, Operational License, and Feedback

You retain ownership of Customer Content. You grant Flowchef a non-exclusive, worldwide license to host, process, transmit, and use Customer Content solely as needed to provide, secure, maintain, and improve the Service and to comply with legal obligations.

You represent that you have all rights necessary to submit Customer Content and that such content does not violate law or third-party rights. We may remove or restrict content that violates these Terms.

If you provide feedback, suggestions, or ideas, you grant us a perpetual, irrevocable, royalty-free license to use them for any lawful purpose without obligation to you.

10. Data Processing, Privacy, and Security

Our Privacy Policy explains how we collect and use personal data. If required for your use case, the parties may enter a Data Processing Addendum (DPA). Where a signed DPA applies, it controls over conflicting terms solely for personal data processing matters.

We implement and maintain reasonable technical and organizational safeguards designed to protect the Service and Customer Content. No system is completely secure, and you remain responsible for secure credential management, endpoint security, and internal access governance.

11. Intellectual Property and Limited License

Flowchef and its licensors retain all rights, title, and interest in and to the Service, software, documentation, trademarks, and branding, including all related intellectual property rights. Except for rights expressly granted in these Terms, no rights are transferred to you.

Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription term.

12. Beta Features and Service Changes

We may provide beta, preview, or experimental features. These may be incomplete, changed, or discontinued at any time and may be subject to additional terms. Beta features are provided as-is and may have reduced support commitments.

We may modify, replace, or retire features to improve security, functionality, compliance, or performance. When practicable, we will provide advance notice of material changes.

13. Suspension and Termination

We may suspend or limit access immediately if we reasonably believe your use violates these Terms, threatens security or platform stability, exposes us or others to legal risk, or involves fraud or abuse.

You may stop using the Service at any time. We may terminate these Terms or your access for material breach, unlawful conduct, prolonged non-payment, or where continued service is not commercially feasible.

Upon termination, your access rights end and certain data may be deleted in line with our retention practices, legal obligations, and backup cycles.

14. Disclaimers of Warranties

To the fullest extent permitted by law, the Service is provided as-is and as-available. Flowchef disclaims all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

15. Limitation of Liability

To the maximum extent permitted by law, Flowchef and its affiliates, officers, employees, and licensors are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenues, lost data, loss of goodwill, or business interruption.

Our aggregate liability for all claims related to the Service will not exceed the total fees you paid to Flowchef for the Service in the 12 months preceding the event giving rise to the claim.

16. Indemnification

You agree to defend, indemnify, and hold harmless Flowchef and its affiliates from claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your Customer Content, your use of the Service, your integrations, or your breach of these Terms.

17. Governing Law, Disputes, and Injunctive Relief

These Terms are governed by the laws of the jurisdiction in which the contracting Flowchef entity is established, excluding conflict-of-law rules. Courts located in that jurisdiction will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service, except where mandatory law requires otherwise.

Nothing in these Terms prevents either party from seeking injunctive or equitable relief in any competent court for actual or threatened misuse of intellectual property, confidentiality violations, or security breaches.

18. General Terms

You may not assign these Terms without our prior written consent, except in connection with a merger, acquisition, or sale of substantially all assets. We may assign these Terms as part of a reorganization, merger, acquisition, or asset transfer.

Neither party is liable for delays or failures caused by events beyond reasonable control (force majeure). If any provision is held unenforceable, the remaining provisions remain in effect. These Terms, together with incorporated policies and any applicable Order, form the entire agreement regarding the Service.

We may amend these Terms from time to time by posting an updated version. Material changes become effective on the date stated in the update notice. Continued use of the Service after the effective date constitutes acceptance of revised Terms.

19. Confidentiality

Each party may receive non-public information from the other party, including technical, business, security, and pricing information. The receiving party will protect confidential information using at least reasonable care and will not use or disclose it except to perform rights and obligations under these Terms.

Confidentiality obligations do not apply to information that is publicly available without breach, independently developed without use of confidential information, rightfully obtained from a third party, or required to be disclosed by law (subject to lawful notice where permitted).

20. Export Controls and Sanctions Compliance

You represent that you are not located in, organized under, or a resident of any country or region subject to comprehensive sanctions that would prohibit use of the Service, and that you are not listed on any prohibited or restricted party list.

You may not use, export, re-export, or transfer the Service in violation of applicable trade, export control, or sanctions laws. We may suspend access as needed to comply with legal obligations.

21. API Usage, Automation Safety, and Abuse Prevention

If you access Flowchef through APIs, service keys, or automation clients, you must implement appropriate security controls, including key management, rotation, and access scoping. You are responsible for behavior triggered by automated calls made under your credentials.

We may apply technical controls, including request validation, rate limiting, temporary suspensions, and abuse detection safeguards, to preserve service integrity and protect all customers.

22. Open Source and Third-Party Software Components

Portions of the Service may include or rely on open-source or third-party software components subject to their own licenses. Your use of those components is governed by the applicable licenses where required.

Nothing in these Terms limits rights that cannot be restricted under applicable open-source licenses. Third-party notices may be provided in documentation or product distributions where appropriate.

23. Enterprise Compliance Terms and Order of Precedence

Certain customers may execute supplemental written agreements with Flowchef, such as a Data Processing Addendum (DPA), security addendum, or enterprise order form. If a signed supplemental agreement conflicts with these Terms, that agreement will control only for the specific subject matter addressed in it.

Except as explicitly modified by a signed written agreement, these Terms remain the governing baseline for access to and use of the Service.

24. Survival

Sections that by their nature should survive termination will survive, including without limitation payment obligations accrued before termination, intellectual property provisions, confidentiality, disclaimers, limitations of liability, indemnification, dispute provisions, and other terms necessary for interpretation and enforcement.
